These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and FPIAM LLC ("FPIAM", "we", "us", or "our"), governing your access to and use of the FPIAM identity and access management platform, including the web portal at portal.fpiam.io, the FPIAM API, and all related services (collectively, the "Service").
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not use the Service.
FPIAM provides a cloud-based identity and access management platform that enables organizations to manage users, roles, permissions, multi-factor authentication (MFA), API credentials, single sign-on (SSO), and related security controls across their applications and environments.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice, except in cases of emergency or legal obligation.

You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.
You retain ownership of all data, content, and information you submit to the Service ("Customer Data"). By using the Service, you grant FPIAM a limited, non-exclusive license to store, process, and transmit Customer Data solely to provide and improve the Service.
We will not sell, rent, or disclose your Customer Data to third parties except as required by law or as described in our Privacy Policy.
You are responsible for ensuring that your use of the Service, and the data you submit, complies with all applicable laws, including privacy laws governing the personal data of your end users.
The Service, including all software, user interfaces, documentation, and content created by FPIAM, is the exclusive property of FPIAM LLC and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any ownership rights in the Service.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by FPIAM without obligation or compensation to you.
The Service is available under a free tier and paid subscription plans, as described on our pricing page. Paid plan terms are as follows:
We reserve the right to change pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
The free tier is provided "as-is" without any guarantees of uptime, support response time, or feature availability. FPIAM reserves the right to modify or discontinue the free tier at any time with 30 days' notice.
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, already known to the receiving party, or independently developed without reference to the confidential information.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FPIAM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
You acknowledge that no system is completely secure and that FPIAM cannot guarantee absolute security of your data.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FPIAM'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FPIAM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL FPIAM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF FPIAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless FPIAM LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your Customer Data.
Either party may terminate the agreement at any time. You may terminate by closing your account. FPIAM may terminate or suspend your access immediately if you violate these Terms or for any other reason with 30 days' notice.
Upon termination: (a) your right to access the Service ceases immediately; (b) you may export your Customer Data within 30 days of termination; (c) after 30 days FPIAM may delete your Customer Data from its systems. Sections 5, 6, 9, 10, 11, 12, and 15 survive termination.
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email (to the address on your account) or by a prominent notice in the portal. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration seated in Travis County, Texas, and proceedings conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek emergency or preliminary injunctive relief from the state or federal courts located in Travis County, Texas to protect its intellectual property or confidential information, and each party irrevocably consents to the exclusive jurisdiction of those courts for such purposes.
